1. Acceptance of these terms

These Terms of Service (the “Terms”) govern your access to and use of the website at impactcomputers.com (the “Site”) operated by Impact Computers & Electronics (“Impact Computers”, “we”, “us”, “our”). By accessing the Site or placing an order, you agree to these Terms, to our Privacy Policy, and to our Terms and Conditions. If you do not agree, do not use the Site. We may revise these Terms at any time by updating this page; by continuing to use the Site you agree to the revised Terms, so please review this page periodically.

2. Eligibility and your account

The Site is intended for adult consumers and business customers. If you create an account, you are responsible for keeping your credentials confidential and for all activity under your account, and you agree to provide accurate, current information. We may suspend or terminate accounts that violate these Terms.

3. Acceptable use

You agree not to:

• use the Site for any unlawful, fraudulent or harmful purpose;
• scrape, harvest, mirror or systematically extract data or content from the Site, or use bots or automated means except as expressly permitted;
• attempt to gain unauthorised access to the Site, interfere with its operation, or circumvent security or bot-protection measures;
• infringe our or any third party's intellectual property or other rights; or
• upload or transmit malware or any harmful code.

4. Pricing and availability

We carry a catalogue of over 1,000,000 products, and the Site is updated through a batch process that can take from 1 day to up to 30 days for all products to be refreshed. As a result:

• Prices and availability are subject to change without notice and are not guaranteed for any period of time.
• We are not responsible for typographical errors. If a price or stock quantity is incorrect, we will correct it on the Site as soon as it is next updated.
• Due to fast-changing inventory and market prices, we do not guarantee that a product will be available when you place your order or that the price will remain the same. We are not liable for losses or inconvenience resulting from such typographical or stock errors. If anything changes after you order, we will notify you as soon as possible and issue a full refund of the purchase price and any shipping and handling charges.

5. Orders and order acceptance

Your submission of an order is an offer to purchase. A confirmation acknowledging receipt of your order does not constitute acceptance; we accept your order when we ship the product. We reserve the right, without prior notice, to cancel or limit the order quantity on any item, to refuse or decline to do business with any individual or business, and to revise or discontinue products at any time.

6. Product condition and substitutions

All products sold by Impact Computers are refurbished unless otherwise specified on the product page. Because of marketplace limitations, equivalent or substitute parts may be supplied. A substitute may carry a different part number, model, brand or labelling but should be functionally compatible with your requirements. If you require an exact part number, contact us — we may be able to assist, although this is not guaranteed.

7. Shipping and risk of loss

We will arrange shipment of the products to the address you provide. Any delivery dates or transit times shown on the Site are estimates only and are not guaranteed; we are not liable for delays caused by carriers or other events outside our reasonable control.

• Risk of loss and title for purchased products pass to you upon our delivery of the products to the carrier.
• Shipping and handling charges are calculated at checkout and, except where required by law, are non-refundable once an order has shipped.
• You are responsible for providing an accurate, complete shipping address. We are not responsible for orders delayed, lost or returned due to an incorrect address you supplied.

8. Taxes

Prices shown on the Site are exclusive of applicable taxes unless stated otherwise. We collect sales and use tax where we are required to do so. Where we do not collect tax, you remain responsible for any taxes, duties or other governmental charges that apply to your purchase.

9. Returns, refunds and warranty (RMA)

Important: issues with product shortages, damaged packages, or incorrect/unacceptable substitutions must be reported within 7 (seven) calendar days of the date you receive the package or shipment.

10. Technical support

Impact Computers is a reseller of refurbished hardware and does not provide product technical support, installation, configuration or compatibility assurance beyond the product descriptions on the Site. For technical assistance, please refer to the relevant manufacturer's documentation and support channels. Nothing in this section limits your rights under our RMA and Warranty process or under applicable law.

11. Disclaimer of warranties

The Site and its content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, neither Impact Computers nor its affiliates, subsidiaries, officers, directors, employees, agents, content providers, contractors, distributors, merchants, sponsors or licensors (collectively, “associates”) warrant that use of the Site will be uninterrupted or error-free, or guarantee the accuracy, integrity or completeness of any content or of the products or services offered. We disclaim all warranties of any kind, whether express or implied, including implied warranties of title, merchantability, fitness for a particular purpose and non-infringement. No oral or written advice given by us or our associates creates a warranty. We make no representation that content on the Site is appropriate for use outside the United States.

12. Limitation of liability

You expressly agree that your use of the Site is at your sole risk. To the fullest extent permitted by law, under no circumstances shall Impact Computers or its associates be liable for any direct, indirect, incidental, special or consequential damages arising out of or relating to your use of, or inability to use, the Site — including reliance on any information obtained from the Site, or damages resulting from errors, omissions, interruptions, deletion of files or email, defects, viruses, worms, bugs, delays in operation or transmission, or any failure of performance, whether or not resulting from acts of God, communications failure, theft, destruction or unauthorised access to our records, programs or services. This limitation applies whether the claim is based on contract, negligence or other tort, even if we have been advised of the possibility of such damages, and applies to all content, merchandise and services available through the Site. Because some states do not allow the exclusion or limitation of liability for consequential or incidental damages, in those states our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to defend, indemnify and hold harmless Impact Computers and its associates from and against any claims, liabilities, damages, losses and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your access to or use of the Site; (b) your breach of these Terms; (c) your violation of any law or the rights of a third party; or (d) any content or information you submit through the Site.

The Site and its content are protected by intellectual property rights. Please see our Copyright & Trademarks page. You may not use our trademarks, content or materials without our prior written permission.

15. Copyright complaints (DMCA)

We respect the intellectual property rights of others. If you believe that content on the Site infringes a copyright you own or control, you may submit a notice under the U.S. Digital Millennium Copyright Act (DMCA). Your notice should include the elements required by 17 U.S.C. § 512(c)(3), including identification of the work, the allegedly infringing material and its location, your contact details, and the required good-faith and accuracy statements. Please send copyright notices to [email protected]. We will respond to valid notices and may remove or disable access to the material.

16. Governing law and dispute resolution

The Site is created, operated and controlled by Impact Computers in the State of Florida, United States of America. These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws principles. You agree that any dispute arising out of or relating to these Terms or your use of the Site shall be brought exclusively in the state or federal courts located in Florida, and you consent to the personal jurisdiction of those courts.

17. General

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force and effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and Terms and Conditions, constitute the entire agreement between you and Impact Computers regarding the Site.
